By-Laws of the Friendship Amateur Radio Club, Inc.


 Sec. 1 – The officers of this club shall be: President, Vice President, Secretary and Treasurer.

Sec. 2 – The officers of this club shall be elected for a term of one year beginning on March first each year. The President and Vice President can be elected for two consecutive terms in that office. The Secretary and treasurer can be elected for five consecutive terms in their offices. The president shall appoint a nominating committee, consisting of three members, at the January meeting. This committee shall submit a slate of members of FARC at the February meeting, who are able and willing to serve as officers. The election of officers shall take place at the February meeting. The installation of officers shall take place at the March meeting. The term of the officers shall start on April first and end on March 31 of the following year. There must be a quorum of members present voting at the February meeting (see Article XI). Absentee ballots and proxies are deemed to be legal votes.

Sec. 3 – A vacancy occurring between elections shall be filled by appointment by the President until a special election can be held, preferably at the next general meeting of the club.

Sec. 4 – Any officer can be removed from office by a three-fourths vote of the full membership.

Sec. 5 – Resignation of any officer or director shall be in writing and delivered to either the President or Secretary stating the effective date. Any resignation does not have to be formally accepted by the membership.



Sec. 1 – The President shall preside at all meetings of the Club and conduct the same according to Robert’s Rule of Order and the rules hereinafter adopted; the President shall enforce due observance of the Articles of Incorporation and the by-laws. The President shall sign all official documents that are adopted by the Club and perform all other customary duties pertaining to the office of the President.

Sec. 2 – The Vice President shall assume all duties of the President in the absence of the latter. The Vice President shall also coordinate policy, direct committees and oversee the implementation of club programs, educational activities and public relations. The Vice President shall maintain liaison with the ARRL Emergency Coordinator or SEC. The Vice President may appoint committees or assistants to aid in specific branches of activity.

Sec. 3 – The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, carry on all correspondence, read communications at each meeting and mail written notices. The Secretary shall maintain an updated copy of the Articles of Incorporation and bylaws of the Club and have same at every meeting. The Secretary shall keep same updated with all amendments, changes and additional noted thereon and shall permit the same to be consulted by regular members upon request. The Secretary shall at the expiration of the term turn over all items belonging to the club to his or her successor.

Sec.. 4 – The Treasurer shall be responsible for collecting dues and take care of disbursements. The Treasurer shall keep an accurate account of all monies received an expended, pay no bills without proper authorization by the Executive Committee and at each meeting submit an itemized statement of disbursements and receipts. The Treasurer shall keep a fund not to exceed $20.00 as petty cash, shall deposit all monies in a checking account in the Club’s name except as otherwise provided, and shall obtain proper authorization for expenditures from the checking account by a majority vote of the Executive Committee or the members of FARC (see Article VI). All checks have to be signed by the Treasurer. The Treasurer shall at the expiration of the term turn over all items belonging to the club to his or her successor.



 Sec. 1 – Full membership is open to FCC licensed radio amateurs and those interested in obtaining an amateur license, or those privileged to operate under a reciprocal agreement as provided under the rules and regulations of the FCC.

Sec. 2 – Any member who joined FARC before Dec. 1995 is considered to be a charter member.

Sec. 3 – Family membership is available to all licensed amateurs in regular member’s immediate family living in the same domicile, with all privileges of regular membership.

Sec. 4 – Membership Application shall be submitted in writing at any regular membership meeting on forms provided by the Club. Membership shall be approved by the Executive Committee.




Sec. 1 – Regular membership meetings shall be held on the second Monday of each month or whenever the Executive Committee decides to hold general meetings. The meetings shall be held at a place and time to be determined by the Executive Committee.

Sec. 2 – Special meetings may be called by the Executive Committee upon written notice from any five members of the Club. All members shall be notified of a Special Meeting not less than 72 hours before time set for such a meeting.



Sec. 1 – The amount of the dues shall be set by the Executive Committee and approved by the membership.

Sec. 2 – Membership dues shall be paid at the first meeting of the fiscal year. The fiscal year shall be from the first day of March to the last day of February of each year. Any member who has not paid dues by April of the year shall be in default and unless there are extenuating circumstances (as may be determined by the Executive Committee), shall be removed from the membership upon direction of the Executive Committee.



Sec. 1 – The Executive Committee shall consist of all officers and committee chairpersons and the immediate past President to make a total of not more seven members.

Sec. 2 – The executive Committee has general supervision of the affairs of the club and shall meet, formulate policy and make recommendations requiring action and vote of the regular membership.

Sec. 3 – A quorum for Executive Committee actions shall require a majority of the Committee members to be present at any meeting.

Sec. 4 – Executive Committee action shall require a majority vote of the members of the Executive Committee present at any meeting, provided there be a quorum. In the event of a tie vote in any Committee action, the vote of the chairperson shall decide the issue.

Sec. 5 – The Executive Committee shall have the right to approve the payment of bills and operating expenses not to exceed $50.00 (fifty dollars). Any expense above that amount must be approved by a majority vote at a regular meeting.



Sec. 1 – The President may appoint special or standing committees for the purposes of planning and conducting special or social events, entertainment, club projects, public service exercises, publicity, or any worthy objective needing committee coordination, consisting of a number deemed necessary by him and for a period of time consistent with the event. The President shall be ex-officio member of all committees. The Vice President shall be an ex-officio member of all committees concerned with public relations, club programs and education.

Sec. 2 – The financial records of the Friendship Amateur Radio Club, Inc. shall be audited prior to the installation of new officers each year. The President shall appoint an Audit Committee of three qualified members to audit all financial records of the Club and to present a full accounting to the membership of income and expenses of the year’s activities, including applicable cash-balance, reconciliation and balance of data, as may be appropriately required for Internal Revenue Service reporting and including descriptions and cash values of all Club property and equipment together with statements designating equipment location, condition and Custodian thereof.



Sec. 1 – Proposals for amendments to these by-laws shall be submitted in writing at any regular membership meeting of the Club. It will then be considered by the Executive Committee at the next regular Executive Committee meeting. A recommendation concerning such changes shall be made at the next regular membership meeting.

Sec. 2 – The By-Laws can only be amended by two-thirds vote of the full membership. Proxy or absentee vote shall apply.



A quorum shall consist of at least 10% of the paid members.


These revised By-Laws adopted this 13th day of January 2020 by a majority vote of the regular voting membership of THE FRIENDSHIP AMATEUR RADIO CLUB, INC,
